1. Definitions
“Niko-Green,” “we,” “us” means Niko-Green Systems and its authorized operators. “You,” “Customer,” “Tenant” means the business or legal entity registering through our application flows. “Service” means the Niko-Green multi-tenant software platform, including (where applicable) point-of-sale and inventory features, web and progressive web applications, hospital-oriented modules marketed as eHospital, APIs, documentation, and Central Command–related onboarding and support processes. “Users” means individuals you authorize to access your Tenant workspace (e.g. staff). “Customer Data” means data you or your Users submit or generate through the Service.
2. Eligibility and registration
You represent that you have authority to bind your organization. Registration information must be accurate and kept current. We may verify information, place your account in a pending state, or decline registrations that appear fraudulent, abusive, or non-compliant. Access credentials are issued subject to approval workflows communicated at signup or by our team.
3. License to use the Service
Subject to these Terms, timely payment where applicable, and plan limits, we grant you a non-exclusive, non-transferable right to access and use the Service for your internal business operations during your subscription or trial. You may not resell, sublicense, reverse engineer, or attempt to extract source code except as permitted by mandatory law.
4. Acceptable use
You will comply with applicable laws (including data protection, consumer protection, tax, and sector-specific rules where relevant). You must not use the Service to: (a) violate third-party rights; (b) distribute malware or conduct unauthorized access; (c) send unlawful or misleading communications; (d) overload or disrupt infrastructure; or (e) access other tenants’ data. We may suspend access for suspected violations, security risk, or non-payment, where permitted by law.
5. Customer Data and confidentiality
You retain ownership of your Customer Data. You grant us a limited license to host, process, back up, and display Customer Data solely to provide, secure, and improve the Service and as required by law. You are responsible for the legality of Customer Data and for obtaining consents where needed (e.g. health or personal data). We implement commercially reasonable technical and organizational measures; no online system is perfectly secure. A separate privacy notice may describe processing in more detail where we publish one.
6. Fees and taxes
Quoted or published fees (including indicative TZS ranges) are subject to written confirmation, invoicing, and applicable taxes, levies, or duties. Failure to pay when due may result in suspension or termination of access. Fee changes for renewals will be communicated in line with your agreement or plan terms.
7. Availability and changes
We strive for high availability but do not guarantee uninterrupted Service. Maintenance, upgrades, force majeure events, or third-party failures may cause downtime. We may modify features to reflect product evolution, security, or regulation, provided we do not materially reduce core functionality without reasonable notice where practicable.
8. Intellectual property
The Service, branding, and related materials are protected by intellectual property laws. Feedback you provide may be used by us without obligation to you. You must not remove proprietary notices.
9. Warranties
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for your use of outputs from the Service (e.g. receipts, reports, clinical or billing workflows) and for compliance with professionals’ and regulators’ requirements in your jurisdiction.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising from these Terms or the Service is limited to the fees paid by you to us for the Service in the twelve (12) months preceding the claim, except where liability cannot be limited by mandatory law (including gross negligence or willful misconduct, where applicable).
11. Indemnity
You will defend and indemnify us against third-party claims arising from your Customer Data, your Users’ acts, or your breach of these Terms, except to the extent caused by our willful misconduct.
12. Term and termination
These Terms apply from your first use of the Service until terminated. You may stop using the Service subject to outstanding fees and transition arrangements. We may suspend or terminate for breach, risk, or legal requirement, with notice where reasonable. Provisions that by nature survive (e.g. liability limits, indemnity) continue after termination.
13. Communicating changes
We may update these Terms. Material changes will be indicated by updating the effective date and, where appropriate, notice via the Service or email. Continued use after the effective date constitutes acceptance of the revised Terms unless prohibited by law.
14. Governing law and disputes
These Terms are governed by the laws of the United Republic of Tanzania, without regard to conflict-of-law rules that would apply another jurisdiction. Courts in Tanzania shall have non-exclusive jurisdiction, unless mandatory consumer or local rules provide otherwise for particular Users.
